PAYMENT POLICY Payments must be made by certified checks or money orders. Letter of credit payment method may be warranted for large volume orders of 500,000 pieces or more. Payments are to be made out and addressed directly to videCard. In the event that an order is cancelled, videCard reserves the right to charge for services rendered prior to receiving such notice, including a 15% cancellation fee. videCard also reserves the right to refuse any order. SHIPPING POLICY All orders are priced F.O.B. Irvine, California. Customer is responsible for all shipping costs within the continental United States. All orders are processed swiftly and should arrive in approximately 3 weeks. videCard disclaims any responsibility for damage, fire, theft, or any act of God pertaining to client's elements. Therefore we encourage all clients to provide their own insurance as needed. We will do everything necessary to meet your anticipated delivery date, but we cannot guarantee that you will receive your product by a specific date. Any date which may have been quoted by us is only an estimate. videCard does not assume liability for any late deliveries. MEDIA PRESENTATION Completed Customer multimedia presentations or other data files may be submitted to videCard for order replication and duplication via CD-R, Iomega Zip 100Mb, Iomega Jaz, floppy disk (3.5”) or other compatible media formats. Customer bears sole responsibility for the content and functionality of the data to be recorded on the product. Customer bears sole responsibility for the content and printability of the label graphics. If errors are discovered in any of these files at any time during the production process, the Customer will be notified as soon as possible. If Customer requests changes to any of these files, videCard or the manufacturer will make the changes as requested at additional cost. But neither videCard or the manufacturer assumes any responsibility for the content or functionality of the data to be recorded on the product or printed on the label. The manufacturing process officially commences upon our receipt of Customer's completed presentation media files. videCard shall hold all Customer presentation data, information and content in the strictest confidence. Customer content and presentation production costs are not included in the price. GRAPHICS The following software (Macintosh and Windows) can be used for the graphics on the card: Quark Express, Adobe PageMaker, Adobe Photoshop, Adobe Illustrator, Corel Draw, and Macromedia Freehand. The files should be created in the following formats: TIFF, EPS, PSD, QXD, CDR, or AI. Resolution on the graphics should be 300 dp or higher. LIMITED WARRANTY If this product should prove defective in workmanship or material, then at videCard's option, it will be repaired, replaced or the purchase price refunded by either manufacturer or by videCard. Any order received by the Customer with verifiable defective CDs shall be replaced, in the amount of pieces that were deemed defective within a 30-day period from videCard's receipt of notice. In such an instance, please notify us immediately. videCards ARE NOT suitable for use in CD-changers, car CD machines, portable CD Players or caddies. videCard and its suppliers do not accept any liability whatsoever, and is hereby indemnified against claims for any damage caused either directly or indirectly, by the use of the videCards in a manner that is inconsistent with this notice of caution or other published system requirements. No Other Warranties. To the maximum extent permitted by applicable law, videCard and its suppliers disclaim all other warranties, either express or implied, including, but not limited to implied warranties of merchantability and fitness for a particular purpose, with regard to the products and any related or accompanying written materials. This limited warranty gives you specific legal rights. You may have other rights which vary from jurisdiction to jurisdiction. No Liability for Damages. To the maximum extent permitted by applicable law, in no event shall videCard or its suppliers be liable for any damages whatsoever (including without limitation, special, incidental, consequential, or indirect damages for personal injury, loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use this product, even if the company has been advised of the possibility of such damages. In any case, videCard and its suppliers' entire liability under any provision of this agreement shall be limited to the amount actually paid by Customer for the "videCards." Because some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you. AUTHORITY The person signing on behalf of Customer hereby personally represents and warrants that he/she has full authority to sign on behalf of Customer. videCard has entered into this Agreement in reliance upon said representation and warranty. RIGHTS Customer has obtained all rights and permission required to be obtained in order to have data, recordings, artwork and printed materials to be replicated onto or into compact disc(s)/Cassette(s); the data, recordings. Artwork and printed materials will not infringe upon any trademark, copyright, contract, property rights and that Customer has paid any and all royalties or other charges to be paid pursuant to copyright law of the United States, any statute, Order, or other law, right or contract governing such materials; and the materials do not contain matter which is libelous, defamatory, obscene or invades the rights of privacy or rights of any individual. INDEMNITY; CONTRACTUAL STATUTE OF LIMITATIONS As material consideration hereunder, Customer agrees to the fullest extent permitted by law that it shall indemnify, defend and hold harmless videCard, its owners, employees and agents, and any other person or entity designated to assist in the subject work, but not including Customer, (collectively “Indemnitees”) from and against all claims, demands, causes of action, damages, liabilities, losses and expenses, including but not limited to attorneys' fees and consultants' and experts' fees, arising from or resulting from any breach of the Representations above as well as performance by videCard whether or not a result of alleged breach or omission by videCard and whether or not such claim, demand, cause of action, damage, liabilities, loss or expense is caused in part by an Indemnitee. Such obligation shall not extend to claims, demands, liabilities, loss or expense to the extent judicially established to be a direct result of the sole negligence or willful misconduct of an Indemnitee. Nothing contained in this subparagraph shall be deemed to negate, abridge or reduce the rights, if any, of videCard to seek contribution where appropriate. All claims by Customer against videCard shall be brought, if at all, no later than six (6) months from the date when any cause of action accrued and any claim not actually filed with the appropriate tribunal within said period shall be deemed forever waived. VENUE; ARBITRATION This agreement is deemed made and accepted in Irvine, California, and any such controversy or claim shall be resolved, arbitrated and litigated in accordance herewith exclusively in the County of Orange, California, using the law of California without reference to its conflicts of laws rules. Subject to the terms hereof, any controversy or claim between or among the parties shall be settled by arbitration in accordance with the commercial Rules of the American Arbitration Association at its Los Angeles offices. The prevailing party shall be entitled to recovery of its attorneys' fees, collection charges and interest at the maximum legal rate. Without waiving the foregoing arbitration, with the respect to any sum owing videCard which is within the jurisdiction of the small claims division of the Municipal Court, videCard shall be entitled to proceed with a Small Claims action it being agreed that any such action shall be filed only in the County in which videCard's main offices are located. Customer hereby consents to venue in said Small Claims Court as mentioned above and waives any claim or defense based upon lack of jurisdiction, forum non convenience or otherwise. INDEPENDENT CONTRACTOR videCard is an independent contractor and not an employee, agent, joint venturer, or partner of Customer. ENTIRE AGREEMENT The forgoing represents the entire agreement between the parties with respect to the subject matter hereof. This agreement may be amended only in writing signed by the party to be charged. NOTICE Prices and specifications are subject to change without notice. All prices and shipping charges subject to verification. videCard is not responsible for typographical errors or omissions relating to pricing, copy, photography, specifications, or application. In the event of a pricing error, we will contact you via e-mail with the corrected pricing information. If you want to order 5 sample Recordables, please copy and paste that order into a letter along with your name, shipping address plus payment in advance and send it to the address at the bottom of this page. After receiving payment, the cards will be shipped. If you want to order 50, 100 or 200 Recordables and pay C.O.D. with a money order or cashier's check, please copy and paste that order into an email and send it to me at videCard along with your name and shipping address.
